SafeBite Service Agreement

1. Services Provided by SafeBite

SafeBite agrees to provide the Restaurant with access to its proprietary mobile application platform (the “Service”) that assists customers in identifying menu items that align with their specific dietary needs, including food allergies and dietary restrictions. The Service includes the ability for customers to scan a barcode provided by SafeBite, which enables customers to view a digital menu of the Restaurant displaying allergen information, dietary details, and potential modifications for menu items based on information provided by the Restaurant.

2. Obligations of the Restaurant

The Restaurant acknowledges and agrees that it is solely responsible for providing SafeBite with accurate and up-to-date information regarding all menu items, including but not limited to ingredients, potential allergens, preparation methods, menu modification options, and any other dietary information necessary for the effective functioning of SafeBite’s Service.

The Restaurant agrees to promptly update the information on SafeBite’s Service to reflect any changes in ingredients, menu items, recipes, or preparation methods that may affect the accuracy of the information presented to customers. The Restaurant shall ensure that relevant staff are adequately trained and aware of the importance of maintaining accurate information on SafeBite’s platform.

3. Limitation of Liability

SafeBite provides the Service on an “as-is” and “as-available” basis, making no warranties about the accuracy, completeness, or reliability of the information provided through the Service. The Restaurant acknowledges and agrees that SafeBite will not be held liable for any adverse reactions, injuries, or damages incurred by customers due to reliance on the information provided by the Restaurant through SafeBite’s Service.

4. Indemnification

The Restaurant agrees to indemnify and hold SafeBite harmless from any claims or liabilities arising out of inaccuracies in the information provided by the Restaurant or any claims related to the use of SafeBite’s Service.

5. Intellectual Property

SafeBite retains all rights to its proprietary technology, including its mobile application, software, trademarks, and related intellectual property. The Restaurant’s use of the Service does not grant any rights or licenses to SafeBite’s intellectual property.

6. Terms and Termination

This Agreement shall commence on the Effective Date and may be terminated by either Party with 3 months’ written notice. Upon termination, the Restaurant must cease using SafeBite’s Service.

7. Confidentiality

The Parties agree to keep confidential any non-public information disclosed during the Agreement.

8. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes will be resolved in good faith, and if not resolved, they will be subject to the exclusive jurisdiction of the Ontario courts.

9. Miscellaneous

This Agreement constitutes the entire agreement between the Parties and may not be modified without written consent from both Parties. Any invalid provisions will be modified to make them enforceable, and the rest of the Agreement will remain in full effect.

10. Notices

All notices and communications under this Agreement must be in writing and delivered via hand, overnight courier, or certified mail to the addresses provided above.
